Creator Agreement

This Creator Agreement ("Agreement") is entered into between Ply Craft Ltd., a company registered in England and Wales ("Ply," "we," "us," or "our"), and you, the individual or entity registering as a creator on the Ply platform ("Creator," "you," or "your"). This Agreement governs the terms under which you publish, sell, and promote your work through the Platform. By creating a Creator account, you agree to be bound by this Agreement in addition to our Terms of Service.

1. Definitions

"Platform" means the Ply website, creator dashboard, marketplace, and all associated services operated by Ply Craft Ltd.

"Creator Content" means all patterns, designs, photographs, descriptions, tutorials, and other materials you upload to or publish through the Platform.

"Pattern" means a knitting, crochet, weaving, spinning, or other fiber craft pattern published for sale through the Platform.

"Yarn Revenue" means revenue generated from yarn sales on Yarnhause that are attributable to your Creator Content through Ply's tracking and attribution system.

"Gross Profit" means the sale price of yarn minus the cost of goods sold (raw materials, manufacturing, and fulfillment costs).

"Branded Line" means a co-branded yarn line bearing the Creator's name or brand, manufactured and fulfilled by Ply/Yarnhause.

"Tier" means the Creator's current level within the Ply platform (Indie, Pro, or Branded), which determines revenue share percentages and available features.

2. Creator Obligations

As a Creator on Ply, you agree to:

• —Publish original, high-quality patterns that are accurate, well-tested, and suitable for the intended skill level
• —Provide accurate yarn recommendations and materials lists for each pattern
• —Respond to customer inquiries regarding your patterns within a reasonable timeframe (typically 5 business days)
• —Maintain accurate account and payment information
• —Not publish content that infringes on third-party intellectual property rights
• —Comply with all applicable laws and regulations in your jurisdiction

Ply reserves the right to review Creator Content for quality and accuracy. We may request corrections or remove content that does not meet reasonable quality standards, provided we give you written notice and a fourteen (14) day opportunity to address the issue.

3. Pattern Licensing

All patterns published on Ply are licensed on a non-exclusive basis. This means:

• —You may sell the same patterns on any other platform simultaneously (Ravelry, your own website, Etsy, LoveCrafts, etc.)
• —You grant Ply a non-exclusive licence to display, distribute, and promote your patterns through the Platform and associated marketing channels
• —You may remove any pattern from the Platform at any time, effective within forty-eight (48) hours of your request
• —Customers who have already purchased a pattern retain access to the version they purchased, even after removal

We will never require exclusivity. Our goal is to earn your presence on the platform by making it the most profitable channel, not by locking you in.

4. Revenue Share

Pattern Revenue. You receive 96.5% of the net sale price of every pattern sold through the Platform. Ply retains 3.5% to cover payment processing, hosting, and platform costs.

Yarn Revenue. You receive a share of the Gross Profit on yarn sales attributable to your Creator Content. The percentage depends on your Tier:

Tier promotions are automatic based on a rolling three-month average of yarn revenue driven. Tier demotions require three consecutive months below the threshold, and Creators will be notified thirty (30) days in advance.

All revenue share calculations are available in real-time through the Creator dashboard. Ply commits to full transparency: you can see every sale, every attribution, and every calculation that contributes to your earnings.

5. Branded Tier Terms

Creators who reach the Branded tier may develop a co-branded yarn line with Ply/Yarnhause. The following additional terms apply:

• —Ply handles all manufacturing, dyeing, inventory management, and fulfillment
• —The Creator directs creative decisions: colorways, naming, packaging design, and brand identity
• —Minimum order quantities and production timelines will be agreed upon in a supplementary production schedule
• —The Creator receives 50% of Gross Profit on all Branded Line sales

Six-month off-ramp. If you choose to leave the Branded tier or terminate this Agreement, a six (6) month transition period applies to Branded Lines. During this period:

• —Existing inventory will continue to be sold, and you will receive your full revenue share on all sales
• —No new production runs will be initiated without your consent
• —At the end of the off-ramp, all remaining inventory may be sold at cost, donated, or destroyed at your direction
• —All brand assets, trademarks, and design IP revert fully to you

6. IP Ownership

You retain all intellectual property rights in your Creator Content. This is non-negotiable and fundamental to how Ply operates. Specifically:

• —All pattern designs, instructions, charts, and schematics remain your property
• —All photographs, illustrations, and visual content remain your property
• —Your brand name, logo, and identity remain your property
• —Branded Line colorway names, brand identity, and packaging designs remain your property
• —Your customer relationships and audience data remain your property

Ply's licence to display and distribute your content exists solely to operate the Platform and terminates upon removal of your content or account closure.

7. Termination & Data Export

Either party may terminate this Agreement at any time with thirty (30) days' written notice. Upon termination:

• —Patterns: Removed from the Platform within 48 hours. Existing purchasers retain access to their copies.
• —Data export: You may download a complete archive of your data, including: sales records, customer analytics (anonymised), revenue reports, and all Creator Content files. Export is available in JSON and CSV formats.
• —Final payout: All accrued earnings will be paid within thirty (30) days of termination.
• —Branded Lines: Subject to the six-month off-ramp described in Section 5.

Ply may terminate this Agreement immediately if you materially breach its terms, engage in fraud, or publish content that infringes on third-party rights, provided we give you written notice specifying the breach.

8. Dispute Resolution

In the event of any dispute arising out of or relating to this Agreement, the parties agree to the following resolution process:

• —Informal resolution: The parties shall first attempt to resolve any dispute through good-faith discussion within thirty (30) days of written notice of the dispute.
• —Mediation: If informal resolution fails, the parties shall submit the dispute to mediation administered by the Centre for Effective Dispute Resolution (CEDR) in London.
• —Litigation: If mediation fails, either party may pursue the matter in the courts of England and Wales.

During any dispute, Ply shall continue to process and pay all undisputed earnings to the Creator.

9. Amendments

Ply may amend this Agreement from time to time. We commit to the following process:

• —Material changes will be communicated via email at least sixty (60) days before they take effect
• —A clear summary of what changed and why will accompany every amendment notice
• —Revenue share percentages shall not be reduced for existing Creators without their individual written consent
• —If you do not agree with a material amendment, you may terminate this Agreement before the change takes effect, without penalty

Non-material changes (corrections, clarifications, formatting) may be made at any time and will be noted in the revision history.
