These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ply Craft Ltd., a company registered in England and Wales ("Ply," "we," "us," or "our"), governing your access to and use of the Ply platform, including the website at plycraft.co, all associated services, and the Ply creator marketplace (collectively, the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
By creating an account, accessing, or using any part of the Platform, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on the Platform at least thirty (30) days before they take effect. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
To access certain features of the Platform, you must register for an account. When registering, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the security and confidentiality of your login credentials; (d) accept responsibility for all activities that occur under your account; and (e) notify us immediately of any unauthorized use of your account.
You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or remain inactive for a period exceeding twelve (12) consecutive months.
Creators retain full ownership of all intellectual property rights in their patterns, designs, photographs, descriptions, and other content ("Creator Content") uploaded to or published through the Platform. By publishing Creator Content on the Platform, you grant Ply a non-exclusive, worldwide, royalty-free licence to display, distribute, reproduce, and promote your Creator Content solely in connection with the operation and marketing of the Platform.
You represent and warrant that: (a) you are the sole owner of, or have all necessary rights and licences to, your Creator Content; (b) your Creator Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party; and (c) your Creator Content complies with all applicable laws and regulations.
This licence terminates upon removal of your Creator Content from the Platform, subject to reasonable caching and archival periods not to exceed thirty (30) days. For further detail on the creator relationship, see the Creator Agreement.
Creators who publish patterns for sale on the Platform shall receive ninety-six point five percent (96.5%) of the net sale price of each pattern sold. Ply retains three point five percent (3.5%) as a platform fee to cover payment processing, hosting, and platform maintenance costs.
Pattern pricing is set by the Creator, subject to a minimum price of £1.00 / €1.00 / $1.00. Ply reserves the right to participate in limited promotional events, during which patterns may be offered at a discount, provided that (a) the Creator is notified at least fourteen (14) days in advance, and (b) the Creator retains the right to opt out of any such promotion.
In addition to pattern revenue, Creators earn a share of gross profit generated from yarn sales attributable to their content. The revenue share percentage is determined by the Creator's tier:
Attribution is determined through Ply's tracking system, which records yarn purchases originating from pattern pages, creator profiles, and associated marketing materials. Ply shall provide transparent, auditable reporting of all attributed sales on a monthly basis through the Creator dashboard.
All payments to Creators are processed via Stripe Connect. Payouts are made monthly, within fifteen (15) business days following the end of each calendar month. The minimum payout threshold is £10.00 / €10.00 / $10.00. Balances below the minimum threshold will roll over to the following month.
Creators are solely responsible for all taxes, duties, and levies applicable to their earnings. Ply does not withhold taxes on behalf of Creators unless required by applicable law. Ply may request tax documentation (such as a W-8BEN or equivalent) as required by the jurisdictions in which we operate.
You may terminate your account at any time by contacting us at hello@plycraft.co or through your account settings. Upon termination: (a) your patterns will be removed from the Platform within forty-eight (48) hours; (b) you will receive a final payout for all accrued earnings within thirty (30) days; (c) you may export all of your data, including sales records and analytics, prior to account closure.
Ply may terminate or suspend your account immediately, without prior notice, if you: (a) materially breach these Terms; (b) engage in fraudulent activity; (c) infringe upon the intellectual property rights of others; or (d) engage in conduct that is harmful to other users, Ply, or third parties.
To the maximum extent permitted by applicable law, Ply and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) your use or inability to use the Platform; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Platform; or (d) any bugs, viruses, or other harmful code that may be transmitted through the Platform.
In no event shall Ply's aggregate liability to you for all claims arising out of or relating to these Terms or the Platform exceed the total amounts paid to you by Ply in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. Ply's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
